The deal includes BMS Intermediaries Inc., BMS Capital Advisory LLC and BMS Re’s London-based U.S. reinsurance broking team. Terms of the transaction were not disclosed. BMS Re U.S. provides property/casualty reinsurance and capital advisory services to regional and super-regional insurers, managing general agents and programs. Its specialty business includes property catastrophe, medical malpractice and workers compensation. BMS Re U.S. has six offices in New York, Philadelphia, Chicago, Minneapolis, Atlanta and Dallas, in addition to its London-based team, according to a Willis Re spokesperson. The acquisition will establish an operational presence for Willis Re in the U.S., expand its existing capabilities and add new lines of business, Willis Re said. “This is a transformational acquisition for Willis Re and one that strongly supports our global growth strategy and greatly accelerates our expansion into the U.S.,” Lucy Clarke, a Willis Re board member and president, risk and broking at WTW, said in the statement. The agreement excludes BMS’ UK, Latin America, Bermuda and global facultative businesses, which will remain a core part of BMS Group, the brokerage said in a separate statement. BMS CEO Nick Cook said the brokerage remains committed to its reinsurance operations outside the U.S., which have about 140 employees, and plans to expand the business. BMS Re is the world’s seventh-largest reinsurance broker, with gross revenue of $173.99 million in 2024, according to Business Insurance’s latest ranking. It had 325 employees in total in 2024. The transaction is subject to regulatory approval and other closing conditions. WTW launched Willis Re through a joint venture with Bain Capital in 2024, marking its return to treaty reinsurance broking. Its former reinsurance business was sold to Arthur J. Gallagher & Co. in 2021 after WTW’s proposed merger with Aon fell apart. That deal involved about 2,200 Willis Re employees. Willis Re has since continued to build out its operations and recently announced several hires from Guy Carpenter in Bermuda.
