Under the plan, the workers compensation insurer would become a stock insurer called CompSource Mutual Insurance. Policyholders, who still need to approve the plan, would become members of a newly formed CompSource Mutual Holding Co., which would own 100% of the converted stock insurer through an intermediary called CompSource Intermediate Holding Co. The commissioner’s decision explains that new and renewal policies will become members of the mutual holding company structure and that the board of directors for the mutual company will be authorized to grant membership status to policyholders for any subsidiaries bought or created in the future. This risk of diluting the rights of existing members is explained in documents that will be distributed to policyholders before they vote on the approved plan.
