The closely watched annual review of lawsuits, which often lead to directors and officers liability claims, showed that the biggest drop in filings occurred in the second half, with 93 filings in the final six months of 2025, compared with 114 during the same period in 2024. The number of federal Section 10(b)–only filings, which allege that companies or executives made false or misleading statements, fell 11% in 2025 to 176. Of the 2025 filings, 16 were related to companies’ development or use of artificial intelligence, slightly up from 2024, while the number of COVID-19-related filings fell to three from 15. The number of mega filings, defined as those with a disclosure dollar loss of at least $5 billion, increased to 36 from 34.
