In Alexander Marine Co., Ltd. v. Fubon Insurance Company, Ltd. , issued Wednesday by Florida’s Fourth District Court of Appeal in West Palm Beach, the appeals panel unanimously ruled that a forum clause does not prevent the dispute between the two Taiwanese companies from being heard in Florida. Insurer Fubon covered Alexander Marine for the shipment of three yachts from Kaohsiung, Taiwan, to Port Everglades, Florida. A fire aboard the transport vessel destroyed two of the yachts. The third was damaged during offloading. After a dispute arose over how much Fubon owed, Alexander Marine sued for breach of contract in the Circuit Court for Broward County, Florida. Fubon moved to dismiss, citing a policy clause stating that disputes were “Subject to Taiwanese Law and Jurisdiction.” The lower court granted the dismissal and Alexander Marine appealed. The appellate panel disagreed, noting that Florida courts enforce forum clauses only when they contain exclusivity language such as “shall,” “must,” “exclusive,” or “only.” The Fubon clause had none. “Identifying a forum is not the same as requiring that forum to the exclusion of all others,” the ruling states. The panel reversed and sent the case back to the trial court, which has not yet ruled on Fubon’s separate argument that Taiwan is a more convenient forum for the dispute.
